Terms of Use

Dodat Ltd., Co. No. 516831658 ("the Company") welcomes users to the project and task management system named "dodat", which enables the management of work teams within and outside the organization ("the System").

Below are the terms of use for the dodat system on the website www.dodat.co.il and/or in the application (app) (hereinafter "the Application" and/or "the System").

The Website, the Application, and the System are operated and managed by Dodat Ltd., Co. No. 516831658 ("the Company"). Any inquiries can be sent via email to: support@dodat.co.il.

Any reference in these regulations in the masculine singular form also implies the feminine form or the plural form, according to the context, and the use of the masculine form is for convenience purposes only.

Your agreement to these terms is a condition for your use of the System, and the actual use of the System constitutes agreement to these terms.

Any use of the Application and/or the System is subject to these regulations and the conditions therein. In the absence of agreement to the contents of these regulations, in whole or in part, you are required to cease such use.

The following terms of use are intended to ensure proper, appropriate, and secure use of the Application and the System, therefore these terms should be read carefully.

General Provisions

The System and the services provided through it are the unique development products of the Company.

As part of the contact process within the System, correct and complete personal details must be provided in accordance with the displayed instructions. Failure to provide correct details, in whole or in part, may delay the registration process or cancel it entirely.

For any issue whatsoever in the System or during the registration process, please contact the Company as indicated above.

Nothing in the System, its content, or its services shall be construed as a promise by the Company for specific or definite results.

The term "Content" and/or "Application Content" includes any information, whether verbal, audio, visual, either separately or combined, as well as its design, processing, editing, distribution, and display method, including, but not limited to, illustrations, videos, images, animation, icons, and characters.

The use of the System, its content, and services are intended solely for the business use of the user, and no use may be made of this content outside the scope of the System (web or application).

As part of using the System, the user may be required to permit the sending of "push" notifications via the user's device for the purpose of transmitting reports, information, updates, alerts, indications, etc.

It is clarified that it is the sole responsibility of the user to ensure that the device used for the System (WEB or application) allows the user to receive push notifications as mentioned. In addition, the user knows and confirms that as part of the use of the System (WEB or application), the user may receive reports, updates, or indications via automated telephone calls that include recorded voice responses.

The Company is entitled to change the System, its design, content, services, and the availability of the services and content provided therein, in whole or in part, without any prior notice.

The Company reserves the right to change the terms of use at any time. The use of the Application and/or the System constitutes agreement to any updates/changes that will be made, if any. Care should be taken to review the terms of use before using the System. If there is no agreement to the terms of use, in whole or in part, then no use should be made of the System.

Services Offered in the System (Web or Application)

The System is a digital and online platform, convenient and simple, which allows visitors to register and use it after a verification process via text message (SMS) or email.

The System (web or application) allows the user to manage their work groups, whereby members of their group can communicate with each other through the System, both in the application and on the WEB, conduct chat conversations, and share information and files. Furthermore, the System allows the user to manage group tasks and track their handling status by all members in the group.

After the initial connection to the System, which includes the identification of the user according to the instructions in the application, access will be granted to the System, to the user's personal environment.

Access to the System will be granted to authorized individuals only, following the creation of a user account.

In addition, the use of the Application or its services, in whole or in part, may be available to users only after a one-time payment or a periodic payment, all as determined by the Company from time to time. The Company may determine that certain components and/or certain services in the System will be provided subject to additional payment. In this context, it is clarified that the user's right to use the System may be unilaterally suspended if a payment collection is not possible due to reasons not related to the Company. The user undertakes that they will have no claims and/or lawsuits against the Company due to such suspension of the subscription or blocking of their user account under the said circumstances.

Every user is entitled at any time to cancel and delete their user account in the System. The cancellation of the account does not constitute the deletion of content, information, files, photos, and everything that was uploaded to the System by the user.

Every user who manages a group is entitled at any time to delete the group. Deleting the group will lead to the deletion of all content, information, files, photos, and everything that was uploaded to the group and/or sent among its members.

The user declares and undertakes not to perform prohibited uses and actions in the System, in whole or in part, as follows:

• Impersonating another user in the System.
• Providing false, misleading, incorrect, or inaccurate details during registration or use of the System.
• Uploading, sending, or transmitting any material that contains any type of computer virus, or any other computer code designed to destroy, interrupt, or limit the use of the System either by the Company or by other users.
• Distributing spam, or flooding the servers through which the System is operated with any other mail.
• Modifying, processing, adapting, sublicensing, translating, selling, performing reverse engineering actions, disassembling, or reassembling any of the code parts that make up the Application, as well as similar actions regarding the hardware and software used for providing the services.
• Uploading pornographic content to the System, content that encourages racism or improper discrimination, or is contrary to the law, or whose publication is contrary to the law, or that encourages activity contrary to the law, or uploading or sending through the services any material or message that is illegal, immoral, offensive in any way, or irrelevant. Without derogating from the above, the Company shall be entitled to remove or edit messages uploaded by you to the Application, at its sole discretion.
• Violating in any way copyrights, trademarks, or any other proprietary right found in the Application or within the framework of the services.
• Transferring or receiving the services, or any part thereof, or displaying any part of the Application within a frame of another web page or application (frame), or as part of another web page or application (mirror), or as part of another service without obtaining the prior explicit and written consent of the Company.
• Making use of any robot, "spider", data retrieval and search engine, or any other automated or manual tool designed to index, retrieve, and locate information found within the System, or a tool as mentioned designed to expose the structure of the database and code of the System.
• Interfering in any other way with the operation and use of the System.
• Violating copyrights or intellectual property rights of the Company and/or of any party whatsoever.
• Making any commercial or for-profit use of the information found in the System, except in relation to information that the user provided themselves. The user is not entitled to permit any use of the information to third parties, whether for consideration or not. It is clarified that no use may be made of the information published in the System for the purpose of displaying it on the internet or in any other service, without obtaining the consent of the Company thereto in writing and in advance and subject to the terms of use.

The user knows that violating these terms of use will obligate them to indemnify and/or compensate the Company for the damages and expenses caused to it as a result of their actions and/or omissions.

Registration to the System

The registration process requires filling in the following details of the user: (a) full name; (b) email address; (c) mobile phone number.

In addition, there is an option for the user to upload a profile picture to their user account.

The registration process consists of dual verification with the user's mobile phone and with the email address, in accordance with the details entered by the user in the application ("Registration Process").

The user account will be configured after the said dual verification and will become an "active" account.

As long as the dual verification has not been performed, the user account will be defined as an account "in registration process" and will not allow access to the account environment in the System.

In addition to the details above, a user in the System (web or application) can send an invitation to join a group. The invitee who received the invitation will be required to perform a registration process if they have not yet registered to the System (web or application) for the purpose of viewing the group content.

Management

The Company undertakes to ensure the proper and continuous operation of the System (web or application), but this undertaking does not prevent disruptions and/or interruptions in the activity of the Application and/or the System as a result of unauthorized access to the Application servers and/or to the communication protocols in the Application and/or to any software and/or hardware related to the proper operation of the Application.

Intellectual Property

All intellectual property rights of any kind and type, including but not limited to copyrights in the content and services offered and appearing in the System (web or application), including the Company's name, the Application's name, and any other name/trademark appearing in the Application, are under the exclusive ownership of the Company.

The user in the System (web or application) is not entitled to display content from the System in any way whatsoever, including through any software, device, or communication protocol that alters the design of the content in the Application and/or adds to and/or subtracts from them any content whatsoever in general, and advertising and commercial content in particular.

All rights to the System's content (web or application) and its design are owned by the Company only, and it is strictly prohibited to make any change in the Application and/or to copy, reproduce, display, publish, distribute, broadcast, transfer to another, create derivative works, or sell any item of information, products, or services originating from the Application, without prior explicit written permission from the Company.

Information Security

The user knows that their personal details and the information they provide within the framework of the contact process and even within the framework of using the System after the registration process will be saved by the Company. The Company will not transfer the user's details and information to others, except in accordance with the provisions of the law or a competent court order.

The System manages user information including, among other things: names, descriptions, and images uploaded in a group, chat messages exchanged between group members, files uploaded to the group account, details of actions performed by users (date, time, IP address, and description of the action taken), as well as details of the tasks specified in the user's account including subject, description, dates, etc.

The Company will make every reasonable effort to safeguard users' details and to protect their privacy. The user declares that they know it is not within the Company's power to guarantee complete protection of their details.

By providing their details, the user agrees to receive direct mailing from the Company. The user is entitled at any time to remove themselves from the Company's mailing list and/or to contact the Company to remove them as stated.

Services Provided by Third Parties

The System (web or application) may include various characterizations, "widgets", or tools for the user, which may be operated by third parties, leading to sites operated and managed by third parties.

The purpose of publishing the third parties' services is to make information accessible to the user about products or services that may interest the user or be useful for them, including in order to provide them with aids to improve the user experience in the System (web or application).

It is clarified that the terms of use of the third parties will apply to the user when using the services of the third parties.

The Company shall not bear any responsibility for damage, loss, monetary loss, emotional distress, and any other damage of any kind and type whatsoever caused to the user as a result of using the third parties' services, and the Company has no responsibility regarding the availability of these services.

The fact that the Company publishes links to those third-party services or to factors providing third-party services, allows their use or reception through the Application, or links between the user and a third-party service provider in any other way at the user's request, does not imply that it supports their operators, their advertisers, or the service providers that supply them, or that it is connected to them in any way whatsoever. Third-party services specified, advertised, appearing, or linked through the Application should not be interpreted as a recommendation, preference, or approval to use the service, material, content, or product appearing or included in the third-party services, and the user must examine the third-party services with extra care and make an independent and personal decision about using these services. In any case, the Company will not be responsible for third-party services.

Limitation of Liability

The use of the System (web or application) is at the user's own responsibility, and the user must make use of it in accordance with the provisions of any law applicable to their field of activity. The System (web or application) grants auxiliary services to its users and does not perform supervision over the said use.

In accordance with the provisions of the law, the Company undertakes to preserve both the security of the content and information displayed in the Application and the details of the users provided in the Application.

The Company invests efforts in protecting against risks to its systems, including against malicious programs (viruses), but despite this, there is no possibility for absolute blocking, and damages or losses may occur due to the realization of any of the risks, including disclosure or disruption of information transmitted or displayed in the System (web or application).

The user agrees that their use of the System is on an "As-Is" basis, and the Company does not guarantee the availability of the System 24/7. The use of or reliance on the System is at the sole responsibility of the user, and they will have no claim or demand against the Company in connection therewith.

The Company does not guarantee the level of accuracy, completeness, update, correctness, reliability, uniformity, quality, fitness for purpose, or originality of any content or information published within the framework of the System.

The Company will not be liable or responsible, whether directly or indirectly, in any case, to the user, anyone on their behalf, or any third party, for any damage or loss caused as a result of the information published in the System, its inaccuracy or incorrectness, from use or inability to use the services or options appearing in the System, from the malfunction or unavailability of the System, and for any other damage that may be caused to the user as a result of using the System, whether it was expected or not. The above will also apply in relation to any third-party service detailed, advertised, appearing, or linked through the System.

The Company cannot guarantee that the System's activity will be continuous, without disruptions, or without errors. It is possible that at certain times, areas, parts, or specific services in the System, in whole or in part, will not be available.

The Company's systems, by virtue of being based on software, hardware, and communication networks, are exposed to risks inherent in systems of this type, including malicious programs (viruses, Trojan horses, etc.), eavesdropping on communication lines, hacking by hostile entities, impersonation, and other online frauds. The Company invests efforts in protecting against these risks, but despite this, there is no possibility for absolute blocking, and damages or losses may occur due to the realization of any of the risks, including disclosure or disruption of information transmitted or displayed in the System, and within this scope, disruption in instructions/requests, unauthorized actions in accounts, disruptions in the operation of the System or its response times, including but not limited to faulty execution, non-execution of an instruction/request, lack of availability of the System, etc.

Without derogating from the generality of the above, it is clarified that the Company's liability will be limited in any case to direct damages only and will not include indirect or consequential damages such as loss of profit or loss of revenues. The Company's liability shall be limited to the amount of consideration actually paid to the Company by the injured user, during six months prior to the occurrence of the alleged event.

The placement of links in the Application does not constitute an offer, expression of support, agreement, or sponsorship of the Application for the content and/or services offered by others in these links.

The user's use of the System constitutes their commitment to indemnify the Company if it is sued and/or required to pay funds as a result of the user's use of the System.

The Company is not responsible for content uploaded to the System by registered users, and the Company is entitled to block the user from all activity in the System if the user's activity is found to be infringing rights and/or offensive towards users and/or the Company and/or any third party.

The user releases the Company and/or anyone on its behalf from liability for any damage, including but not limited to emotional distress, insofar as caused as a result of a breakdown and/or malfunction and failures in the System.

Data Collection via "Cookies"

The System (web or application) uses 'Cookies' for its ongoing and proper operation, including to collect statistical data about the use of the Application and/or the System, and for verification of details.

The purpose of these details is to adapt the System to the user's preferences and characterize their needs, as well as for information security purposes. "Cookies" are text files that the user's browser creates upon command from the Company's computers.

Some "Cookies" will expire when the user closes the browser, and some "Cookies" will be saved on the user's computer hard drive.

The information in "Cookies" is encrypted, and the Company does everything in its power to ensure this information remains in its hands. If you do not want to receive cookies, you can avoid this by changing the settings in your browser.

This information will be used by the Company for internal and self-use only, with the aim of improving the System and providing a good and accurate experience for the user.

Privacy Policy

The Company has a built-in and detailed privacy policy under the "Privacy Policy" tab in the System (WEB or application), which constitutes an integral part of these terms of use.

Applicable Law and Exclusive Jurisdiction

The use of the System (web or application), and regarding disputes arising from the use of it, including the use of products sold in it, shall be governed by the laws of the State of Israel only.

The exclusive jurisdiction regarding the terms of use and the use of the System (web or application) shall rest with the competent courts in the city of Tel Aviv.
